Introduction

Welcome to Yativo, a product of Zee Technologies. This Developer Policy Agreement (“Agreement”) governs the relationship between Zee Technologies (“we,” “us,” “our”) and developers (“you,” “your”) who utilize Yativo’s services. By accessing and using Yativo, you agree to comply with the terms and conditions set forth in this Agreement.

1. Definitions

  • Yativo: The payment infrastructure platform provided by Zee Technologies SpA.
  • Developer: Any individual or entity using Yativo’s services to integrate, access, or use its functionalities.
  • End-User: Any individual or entity using the products or services developed by the Developer that utilize Yativo’s services.
  • Personal Data: Any information relating to an identified or identifiable natural person.

2. Developer Obligations

2.1 Compliance with Laws: You agree to comply with all applicable local, state, national, and international laws and regulations in connection with your use of Yativo.

2.2 Data Privacy: You are responsible for ensuring that all data collection, storage, and sharing activities comply with applicable data privacy laws, including obtaining necessary consents from End-Users.

2.3 Security Measures: You must implement reasonable security measures to protect the data accessed, stored, or transmitted through Yativo against unauthorized access, alteration, disclosure, or destruction.

2.4 Use of Yativo: You agree to use Yativo solely for lawful purposes and in accordance with this Agreement. You will not use Yativo to engage in any fraudulent, deceptive, or illegal activities.

2.5 API Usage: You must use Yativo’s API in a manner that does not negatively impact the operation of Yativo, including avoiding excessive use that may cause degradation of performance.

3. Data Handling and Privacy

3.1 Data Collection: You may collect and use Personal Data from End-Users only to the extent necessary to provide your products or services. You must clearly inform End-Users about the data you collect and obtain their explicit consent.

3.2 Data Sharing: You may only share Personal Data with third parties as necessary to provide your products or services and must ensure that such third parties comply with data privacy laws.

3.3 Data Retention: You must not retain Personal Data longer than necessary to fulfill the purposes for which it was collected. Personal Data must be securely deleted or anonymized when no longer needed.

3.4 Data Breach Notification: In the event of a data breach, you must promptly notify Yativo and affected End-Users and take immediate steps to mitigate the breach and prevent further unauthorized access.

4. Intellectual Property

4.1 Ownership: Yativo retains all rights, title, and interest in and to its services, including all related intellectual property rights. This Agreement does not grant you any ownership rights to Yativo’s services.

4.2 License: Yativo grants you a limited, non-exclusive, non-transferable, and revocable license to use its services solely for the purposes of developing, testing, and operating your products or services.

5. Termination

5.1 Termination by Yativo: Yativo may terminate this Agreement and your access to its services at any time, with or without cause, by providing notice to you.

5.2 Termination by Developer: You may terminate this Agreement by discontinuing the use of Yativo’s services and notifying Yativo of your intention to terminate.

5.3 Effect of Termination: Upon termination, you must cease all use of Yativo’s services and delete any data obtained through Yativo. The provisions of this Agreement that by their nature should survive termination shall survive.

6. Liability and Indemnification

6.1 Limitation of Liability: Yativo shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your use of Yativo’s services.

6.2 Indemnification: You agree to indemnify, defend, and hold harmless Yativo, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or in any way connected with your use of Yativo’s services or violation of this Agreement.

7. Confidentiality

7.1 Confidential Information: You agree to keep confidential any non-public information, including business, technical, or financial information, disclosed by Yativo to you in connection with your use of Yativo’s services.

7.2 Non-Disclosure: You agree not to disclose any Confidential Information to third parties without Yativo’s prior written consent, except as required by law.

8. General Provisions

8.1 Amendments: Yativo may amend this Agreement at any time by providing notice to you. Your continued use of Yativo’s services after any such amendments constitutes your acceptance of the new terms.

8.2 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of Chile, without regard to its conflict of law principles.

8.3 Dispute Resolution: Any disputes arising out of or in connection with this Agreement shall be resolved through binding arbitration in accordance with the rules of Chilr, with the arbitration taking place in Chile.

8.4 Entire Agreement: This Agreement constitutes the entire agreement between you and Yativo regarding your use of its services and supersedes any prior agreements or understandings, whether written or oral.

8.5 Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
