Yativo Spend Card Terms

Effective as of 25 November 2025

Welcome to the official Yativo Spend Card Terms. These Card Terms form a binding agreement between you (“you”, “your”), Yativo SpA, and the Issuer, which includes all affiliates, successors, and assigns responsible for issuing the Yativo Spend Card.


Important Disclosures

Rates, fees, and other important information about your Yativo Spend Card (“Card”) are included in this section.

Interest Rates and Charges

  • Interest Rate: 0%
  • Annual Percentage Rate on Purchases: 0%
  • All purchases on your Yativo Spend Card currently carry zero percent interest. Issuer and Yativo reserve the right to introduce interest for new purchases in the future. Any changes will be disclosed before implementation.

  • Cross-Border Fee: up to 3%

Penalty Fees

  • Late payment: Up to $40
  • Returned payment: Up to $29
  • Liquidation penalty: Up to $35

User Acknowledgment

WHEN YOU APPLY FOR A CARD ACCOUNT, ACTIVATE A CARD, OR OTHERWISE PARTICIPATE IN THE PROGRAM IN ANY WAY, YOU REPRESENT THAT YOU HAVE READ, UNDERSTAND, AND AGREE TO THESE ISSUING TERMS.


Background

The Yativo Card is provided to you on behalf of Yativo in connection with your status as a Yativo customer and pursuant to your separate User Agreement between you and Yativo (the “User Terms”). The Issuer is not a party to the Yativo User Terms and disclaims any liability for the performance of services covered therein.

Yativo has opened a Yativo Account for purposes of facilitating transactions you make using a Card based on a limit established by Yativo pursuant to the User Terms. You understand that you have access to the Services and Yativo Card only to the extent authorized by Yativo. You acknowledge and agree that Yativo will satisfy obligations created through your use of the Yativo Card and you will repay Partner based on the terms of your User Agreement, subject to the terms below.

Details on Yativo’s collection, use, and handling of your personal data are described in [Partner Privacy Policy]. Please review it carefully and contact Yativo if you have any questions. By opening, using, or maintaining a Card, you consent to and direct Issuer to share information relating to transactions, including receipt information or other personal data, in order to deliver the Services.


Issuer

The card program is issued by the Issuer under license from Visa. The information about the cost of the Card described in the above table is accurate as of 25th November, 2025. This information may change after that date. To find out what may have changed, call or write the servicer at:

Yativo and Issuer reserve the right to amend these Card Terms or impose additional obligations or restrictions on you at any time with or without notice to you. By continuing to use the Services, you agree to be bound by such amendments or additional obligations or restrictions.

The date on the top of this page shows when the Card Terms were last updated. Capitalized terms that are not defined here have the definitions provided in the Yativo terms and conditions.


Defined Terms

Card Networks
The payment card networks including Visa or Mastercard.

Charge
A payment for goods or services made to a merchant that accepts payments on the applicable Card Network.

Chargeback
A dispute that you initiate against a merchant for an unresolved dispute with the merchant or where a Charge is unauthorized.

Fee
Charges we impose on you for use of Services or your use of a Yativo Card.

Issuer
Refers to the issuer of the card program. The issuer for this program is Third National.

Periodic Statement
The periodic statements that reflect activity for all Cards issued to you, identifying charges, fees, refunds, or other amounts owed or credited to your Yativo Account during the time covered by that statement.

Supported Blockchains
The Ethereum Blockchain, Solana Blockchain and other blockchain networks which may be added at the sole discretion of Issuer.


Agreement

1. Accepting this Agreement & Eligibility

These Card Terms become effective and legally binding when you activate or create your Card by following the instructions on the Yativo platform. You and we agree to comply with, and be bound by, this entire agreement. You should retain and carefully review these Card Terms. By creating a card, you agree to the Arbitration Clause below as it pertains to this agreement, even if you do not use the Account or the Card.

By using a Card you represent and warrant in your individual capacity that:

  • You are not a person who is blocked or sanctioned by the United States Government, including those identified by the United States Office of Foreign Asset Controls (OFAC).
  • You will use the Services exclusively for purposes permitted by these Card Terms.
  • All information you provide to us, either directly or through Partner, is and will be true, correct, and complete.
  • You will use the Yativo Card for personal, family, or household use.
  • You will only use the Yativo Card in compliance with applicable law.
  • You attest that you are not a United States citizen, and that you are signing up for a card that is intended for those outside of the United States.
  • You attest that you were not solicited for this product.

2. Issuer Terms

Cards are issued either by the issuer identified on the back of the Yativo Card issued to you, as identified in these Card Terms, or any other agreements or materials provided to you (in each case, the “Issuer”). Issuer is the creditor responsible for funding your payments for goods and services you purchase at a merchant through your Yativo Card and based on information provided by Partner.

Please note that the Issuer may require you to accept additional terms in addition to the agreements you have with Yativo, and your use of the Yativo Cards will then also be subject to such additional terms.


3. Collateral

You may provide the collateral that will secure the Charges made by you on any Yativo Card (the “Collateral”). The Collateral will be in the form of a Digital Asset. Issuer reserves the right to designate which forms of Digital Assets may be used as Collateral, and reserves the right to decline a form of Collateral if it does not meet its updated policies, guidelines, or the Issuer’s requirements.

A “Liquidation Event” will occur:

  • a) if you have an outstanding payment obligation to Yativo or the Issuer and such payment obligation has not been paid in full within one (1) calendar day, or
  • b) the Market Value of your collateral drops below the value of the existing charges on your Yativo Card(s) and you do not add additional collateral.

Yativo and Issuer may allow for an additional grace period at their discretion.

Market Value of the Collateral will be determined by Yativo and/or Issuer using the net redemption value provided by a centralized stablecoin issuer and/or the real time price posted on a reputable and recognized exchange or price aggregator, or by reference to a price oracle, subject to Yativo or Issuer’s discretion.

You agree that the market value of your collateral is determined solely by Issuer through these methods. You further agree that the Market Value is determined at the time of a Liquidation Event and any change in or fluctuation in value before or after the Liquidation Event will have no bearing on obligations owed.

You, through your Linked Wallet or Additional Wallets, must post Collateral with a Market Value in USD equal to each dollar charged to your Yativo Cards.

Example:
If you post Digital Assets worth $100 USD and the value does not change, your spending limit will be $100 USD across all Yativo Cards. Once that limit is reached, you must post more collateral. If the Market Value drops below your existing charges, you may face a Liquidation Event. If liquidation occurs when Market Value is lower than the charges, you still owe the remaining difference.

Withdrawing Collateral does not terminate any outstanding obligations.

Important:
Neither Yativo nor Issuer will, under any circumstance, hold custody of your Collateral. Issuer is not a custodian or owner of your Collateral. If a Liquidation Event occurs, only the amount required to satisfy obligations will be liquidated.

You authorize Yativo or Issuer to liquidate Collateral through a third party or other means if required.


4. Spending Limits

Your spending limit is set by Yativo under the Yativo Terms and depends on the collateral in your linked wallet. Issuer may also set its own limits on individual Yativo Cards or across all Cards at its discretion.

Spending limits may be modified at any time, with or without notice, including temporary increases or decreases.

When you use your Card at merchants where the final transaction amount is unknown at authorization (e.g., hotels, gas stations), Issuer may place a “hold” for a higher or lower amount. This hold reduces your available spending limit until the final Charge is settled.


5. Purchases & Restrictions

Yativo and Issuer reserve the right to block and terminate transactions and suspend access to your Account, unless prohibited by applicable law, for transactions and activity which presents patterns that do not conform with consumer purposes.

You may use your Account to purchase or lease goods or services (“purchase”) by presenting your Card or providing your Card number and additional information by any other means (such as phone, online, or mobile app). We will not be liable if any merchant cannot or will not process a purchase permitted under these Card Terms.

Unless prohibited by law, we may limit the type, number, and dollar amount of any purchase, including cash-like transactions. Cash-like transactions include:

  • purchasing travelers checks, foreign currency, money orders, wire transfers, cryptocurrency, or similar assets
  • purchasing lottery tickets, casino chips, race track wagers, and similar betting transactions
  • person-to-person money transfers and account-funding transactions
  • payments made using a third-party bill-payment service

We may deny any purchase for reasons including account default, suspected fraud, unlawful activity, internet gambling, or indicators of increased risk. We may suspend or terminate use of the Card or Account with or without notice.

Cash advances and balance transfers are not available under these Card Terms.

You also acknowledge and agree:

  • you have reviewed and understood the “Partner prohibited activities list”
  • you will not engage in prohibited activities
  • you will not use the Card for expenses not incurred by you
  • you will not use the Card for any prohibited purpose
  • you will not use the Card for or with any OFAC-sanctioned individual or entity
  • you will use the Card for personal, family, or household use

You must protect your Card and login credentials. You will not permit third-party use. You must notify us immediately if your Card is lost, stolen, or compromised.


6. Payments

6.1 Promise to Pay

While you will generally repay Yativo for amounts transacted with your Card, you also promise to pay Issuer or its assignees for all amounts charged to the Account not repaid by Partner, including all purchases, interest, and charges.

You are obligated to repay Yativo or its assignees for all transactions made by anyone you authorized to use the Card, even if they exceed the scope of your authorization.


6.2 Periodic Statements

You are responsible for paying in full all Charges and Fees.

Your Yativo Account may include Periodic Statements identifying Charges, Fees, refunds, Collateral balances, and other amounts owed or credited.

Statements may be available daily or monthly.

You must promptly notify us of any errors and submit disputes or Chargebacks according to these Card Terms.

Your failure to receive a statement does not relieve you of your obligation to repay. Yativo and Issuer may still liquidate your collateral per Section 3.


6.3 Repayments

You may make a repayment for balances on your Yativo Cards by any means permitted by Yativo.

Failure to pay when required is a breach of these Card Terms. You are responsible for all legal, collections, or interest costs allowed by law.


6.4 Prepayment

You may prepay any portion of your outstanding balance at any time without penalty.

Paying more in one cycle does not relieve obligations in future cycles.


7. Fees

Subject to applicable law, you agree to pay all Fees.

Yativo will disclose Fees when you are approved or via updates to these Card Terms. Fees may include finance charges, issuance fees, replacement fees, foreign transaction fees, usage fees, service fees, cash advance fees, late fees, failed payment fees, Liquidation Event fees, and others.


7.1 Penalty Fees

(a) Liquidation fee

(b) Returned payment fee — up to $29 USD
A returned payment fee will not be charged if a late fee is charged for the same due date. A returned payment fee will never exceed the minimum payment due immediately prior to the return.

(c) Additional fees for special services may apply as allowed by law.


7.2 Foreign Currency Transactions

If you make a transaction in a foreign currency:

  • The Card Network will convert the currency to USD at the rate chosen by the network for the processing date.
  • The rate may differ from the rate used by the network itself.
  • Merchants may convert currency themselves using their own rate before submission.

Foreign Transaction Fees: up to 3%


8. Managing Your Yativo Cards

8.1 Requesting and Replacing Cards

Issuer may decline requests for additional Cards or limit the number of Cards.

You must secure all Cards and credentials. You must notify us immediately if a Card is lost, stolen, or compromised. Replacement Cards may require you to update billing details for recurring payments.


8.2 Permitted and Unauthorized Use

You must ensure Cards are used only by you or permitted users for legitimate purposes.

You are responsible for Charges made by anyone with access to your Cards, even if not named on the Card.

Charges may be denied or reversed. Issuer is not responsible for losses from denied Charges.


8.3 Lost or Stolen Cards

If your Card is lost or stolen, notify us immediately at fr***@****vo.com or +1 (350)-250-8728.

You are not liable for unauthorized transactions after you notify us, but may be liable for those occurring before notice.

You must assist in investigations.


9. Chargebacks

You are responsible for reviewing your Periodic Statements promptly and identifying any Charges that you believe are unauthorized or that you dispute.

If you and a merchant have a dispute regarding a Charge on your Periodic Statement — for example, incorrect goods, wrong amount, or undelivered services — you should first attempt to resolve the dispute directly with the merchant.

If unresolved or if you believe the Charge is unauthorized, you may initiate a Chargeback through your Yativo Account.

You must report any disputed Charge or error no more than 60 days after the disputed Charge is posted.

We may require additional transaction details, and our review will depend on you providing the requested information.

The Yativo Card is subject to Card Network rules regarding chargebacks, which may require further documentation.

Charges related to disputed items may still be due while the Chargeback is pending. Chargebacks resolved in your favor will be credited to your Yativo Account.

We may impose Fees, lower spending limits, or suspend your Account if you fail to pay Charges related to pending Chargebacks by the payment due date.


10. Termination

Subject to applicable law, we may suspend, revoke, or cancel your Account privileges, your right to use the Card, or deny any transaction, at our discretion, with or without cause, and with or without notice.

Termination does not affect your obligations, including repayment of outstanding amounts.

You must surrender or destroy the Card upon demand. If you attempt to use the Card after termination, the Card may be retained by the merchant, ATM, or financial institution.


11. Change of Terms

Subject to applicable law, we may change, add, or delete any terms or conditions at any time, including interest rates and this Change of Terms provision.

Changes may be based on anti-fraud policies, your compliance level, economic conditions, or other factors.

Notice will be given as required by law.

Changes may apply to new purchases and outstanding balances to the extent permitted by law.


12. Remedies

If you default under these Card Terms, we may, subject to applicable law:

  • declare all or part of your outstanding balance immediately due
  • allow you to repay the minimum payment due each cycle (without waiving rights)
  • initiate collection actions and charge you court costs and reasonable attorneys’ fees

Interest charges will continue to accrue until the balance is fully paid.


13. Delay in Enforcement

We may delay or waive enforcement of any rights without losing those or any other rights. Acceptance of late payments does not waive any rights.


14. Communications and Call Recording

You authorize Yativo, Issuer and their partners (one of and each of Issuer’s joint or independent affiliates, agents, assigns, and service providers (collectively, the “Messaging Parties”)) to use automatic telephone dialing systems, artificial or prerecorded voice message systems, text messaging systems and automated email systems, or any system capable of storing and dialing telephone numbers to deliver messages relating to these Card Terms, your Account, or your relationship with the Messaging Parties more generally (including but not limited to: messages about, upcoming payment due dates, missed payments and returned payments) to any telephone number(s) you provide to the Messaging Parties.

You also agree that:

  • messages may include prerecorded or artificial voice messages
  • messages may be played automatically when answered
  • messages may be recorded by answering machines
  • messages may be sent by mail or email
  • anyone with access to your mail, phone, or email may access these messages

You understand that you may incur charges from your telecom, wireless, or internet provider and agree the Messaging Parties have no liability for such charges unless required by law.

You expressly authorize the Messaging Parties to monitor and record your calls.

If any telephone number you have provided changes or you cease to be its owner, subscriber, or primary user, you must immediately notify the Messaging Party.

This authorization is part of your agreement under these Card Terms.
To revoke consent where permitted by law, contact the Messaging Party directly or email pr*****@****vo.com with subject line “END COMMUNICATIONS.”

You may opt out of text messages by replying “STOP,” or out of emails by using the opt-out link contained in the email.


15. Governing Law

These Card Terms are governed by the laws of Puerto Rico, without regard to conflict-of-law rules.

Judicial proceedings (other than small claims actions) excluded from arbitration must be brought in state or federal court in Puerto Rico unless both parties agree otherwise. You consent to that jurisdiction and venue.


16. Dispute Resolution & Arbitration

PLEASE READ CAREFULLY. THIS SECTION LIMITS YOUR RIGHTS.


Binding Arbitration

You and Issuer agree that any and all past, present, or future Disputes shall be resolved by arbitration, unless an exception applies.

Arbitration will not proceed as a class, group, or representative action.

“Dispute” includes:

  • any claim arising out of or relating to these Card Terms
  • any breach, termination, enforcement, interpretation, or validity question
  • any Services, including the Yativo Card
  • the scope or applicability of arbitration

The Federal Arbitration Act governs regardless of any other choice-of-law provision.


Arbitration Procedure

(a) Informal Resolution Required First

Before arbitration, the party initiating a claim must send a Notice of Dispute with:

  • your name
  • contact information
  • sufficient details of the issue

If the other party responds within 10 business days, both must attempt good-faith resolution.

If unresolved within 30 days, arbitration may proceed.

If a party initiates arbitration without following these steps, the arbitrator must dismiss the claim with prejudice and award the other party costs and attorneys’ fees.


(b) Arbitration Rules

  • Administered by the American Arbitration Association (AAA)
  • Under the AAA Commercial Arbitration Rules
  • One arbitrator unless injunctive relief affecting other users is sought
  • If so, a panel of three arbitrators will be appointed
  • Arbitration will be confidential
  • Hearings held in New York, NY, or conducted remotely if you elect
  • Remedies available in individual lawsuits are also available in arbitration
  • Filing costs follow AAA Rules
  • The prevailing party may recover attorneys’ fees and expenses

(c) Collective Arbitration Prohibited

Arbitration must proceed only on an individual basis.

A “Collective Arbitration” includes:

  • two or more similar claims filed concurrently
  • same or coordinated counsel
  • shared fees

To the maximum extent permitted by law, you waive any right to participate in class, collective, coordinated, consolidated, or mass actions.

Challenges to this class waiver may be decided only by a court, not an arbitrator.

If the class-waiver prohibition is invalidated, the entire arbitration agreement becomes void, and the Dispute must be litigated instead.


Small Claims Court

You and Issuer may bring individual actions in small claims court.


No Jury Trial

If a claim proceeds in court rather than arbitration, both parties waive the right to a jury trial.


Judicial Venue

If arbitration does not apply, judicial proceedings may only be brought in Puerto Rico unless law requires otherwise.

Either party may confirm an arbitral award in any court with jurisdiction.


Confidentiality

All Dispute-related information must be kept confidential except where disclosure is required for arbitration or enforcement of an award.


Survival

This arbitration agreement survives termination or expiration of the Card Terms.

If any part of the arbitration agreement is invalidated, the rest remains in force — except that if the class-waiver section is invalidated, the entire arbitration agreement is void.


Indemnity

You will indemnify and defend Yativo and Issuer and their affiliates, partners, directors, officers, employees, agents, trustees, administrators, managers, advisors, and representatives (“Indemnitees”) from any claims, losses, damages, penalties, liabilities, settlements, fees, and expenses arising from:

  1. any breach by you or any Company Administrator/User of these Card Terms or related agreements
  2. amounts owed by Company to third parties
  3. acts or omissions of Company Administrators, Users, employees, or agents
  4. your use of the Services
  5. disputes over charges between Company and merchants

If your jurisdiction restricts indemnification, the section applies only to the maximum extent permitted. Invalid portions do not affect the remainder.
