Yativo Business Spend Card Terms
These Yativo Spend Card Terms (“Card Terms”) are a binding agreement between you (“you”, “your”) and Issuer, including its affiliates, successors, and assigns (“Issuer”, “we”, “us”, “our”). These terms govern your use of the Yativo Spend Cards, including how to obtain and manage Yativo Spend Cards. Access to the cards is provided to you by Yativo SpA (“Yativo”).
Important Disclosures
Rates, fees, and other important information about your Yativo Spend Card (“Card”) are set forth in these Important Disclosures.

Interest Rates and Charges
- Interest Rate: 0 percent
- Annual Percentage Rate (APR) for Purchases: 0 percent
Your Yativo Spend Card currently has zero percent interest for all purchases. Issuer and Yativo may introduce interest for new purchases in the future. Any change will be disclosed before it takes effect.
Fees
Transaction Fee: Based on your subscription
Foreign Purchases
- Foreign Exchange Fee (non USD): up to 3 percent
- Cross Border Fee: up to 3 percent
Penalty Fees
- Late payment: up to 40 dollars
- Returned payment: up to 29 dollars
WHEN YOU APPLY FOR A CARD ACCOUNT, ACTIVATE A CARD, OR PARTICIPATE IN THE PROGRAM IN ANY WAY, YOU REPRESENT THAT YOU HAVE READ, UNDERSTAND, AND AGREE TO THESE ISSUING TERMS.
Terms
Background
The Yativo Card is provided to you by Yativo based on your status as a Yativo customer and under your separate User Agreement with Yativo (“User Terms”). The Issuer is not a party to the Yativo User Terms and disclaims any liability for services covered there.
Yativo provides access to a Yativo Spend Account to facilitate transactions using your Card, based on limits established by Yativo under the User Terms and based on limits from the collateral in your linked wallet.
You understand:
- You only have access to the Services and the Yativo Card as authorized by Yativo.
- Yativo will settle obligations created through your use of the Yativo Card.
- You are required to repay Yativo under the terms of your User Agreement.
- The Yativo Card is not intended for personal, consumer, or household use.
- You agree to use the Yativo Card only for commercial or business purposes.
Information about how Yativo collects and uses personal data is found in the Privacy Policy. By using the Card, you consent to Issuer sharing transaction information as needed to deliver the Services.
Issuer
The card program is issued by the Issuer under license from Visa. The information in the disclosures is accurate as of 25 November 2025 and may change after that date.

Yativo and Issuer may amend these Card Terms or impose additional obligations at any time, with or without notice. Continued use of the Services means you agree to any updates.
Capitalized terms not defined here follow the definitions in the User Agreement.
Defined Terms
Card Networks
Visa or Mastercard.
Charge
A payment for goods or services made to a merchant that accepts payments on the applicable Card Network.
Chargeback
A dispute you initiate against a merchant for an unresolved or unauthorized Charge.
Linked Wallet
The primary wallet connected as the settlement source for your Yativo Spend Card.
Fee
Charges imposed on you for using the Services or Yativo Card.
Issuer
Third National, the issuer and principal member of the applicable Card Networks.
Periodic Statement
Statements identifying charges, fees, refunds, collateral, and amounts owed or credited during the relevant billing period.
Supported Blockchains
Solana, and other blockchains added at the Issuer’s discretion.
Agreement
1. Accepting this Agreement and Eligibility
**
These Card Terms become effective and legally binding when you activate or create your Card by following the instructions on the Yativo platform. You and we agree to comply with, and be bound by, this entire agreement. You should retain and carefully review these Card Terms. By creating a card, you agree to the Arbitration Clause below as it pertains to this agreement, even if you do not use the Account or the Card.
By using a Card you represent and warrant in your individual capacity that:
- You are not a person who is blocked or sanctioned by the United States Government, including those identified by the United States Office of Foreign Asset Controls (OFAC).
- You will use the Services exclusively for purposes permitted by these Card Terms.
- All information you provide to us, directly or through Partner, is and will be true, correct, and complete.
- You will not use the Yativo Card for personal, family, or household use.
- You will only use the Yativo Card in compliance with applicable law.
- You attest that you are not a United States citizen and that you are signing up for a card intended for users outside the United States.
2. Issuer Terms
Cards are issued either by the issuer identified on the back of the Yativo Card or as stated in these Card Terms or additional materials. The Issuer is responsible for funding payments for goods and services purchased through your Yativo Card based on information provided by Partner.
The Issuer may require you to accept additional terms. Your use of the Yativo Cards will also be subject to such additional terms.
3. Collateral
You may provide collateral to secure Charges made on any Yativo Card. The collateral must be a Digital Asset. The Issuer may approve or reject specific forms of Digital Assets under its policies, guidelines, or requirements.
A Liquidation Event occurs if:
- You have an outstanding payment obligation to Yativo or the Issuer that remains unpaid for one calendar day.
- The Market Value of your collateral drops below the value of your existing Charges and you do not add additional collateral.
Yativo and Issuer may grant additional grace periods at their discretion.
Market Value is determined by Yativo and the Issuer using:
- net redemption value from a centralized stablecoin issuer, or
- real time prices from reputable exchanges or price oracles.
You agree that:
- Market Value is determined solely by the Issuer.
- Market Value at the time of a Liquidation Event is final.
- Later changes in value have no effect on your obligations.
You must maintain collateral equal to every dollar charged across all your Yativo Cards. Examples:
- If you post Digital Assets worth 100 dollars, your total spending limit is 100 dollars.
- Once you spend 100 dollars, you must add more collateral.
- If your collateral falls below the value of your charges, you may face liquidation.
- If the collateral value at liquidation is lower than your obligations, you must pay the difference.
Removing collateral does not eliminate existing obligations.
Neither Yativo nor Issuer ever holds custody of your collateral. Issuer is not the custodian or owner.
If liquidation occurs:
- Only the amount required to satisfy outstanding obligations is liquidated.
- Any remaining unencumbered collateral remains available to you.
- You authorize Yativo or Issuer to liquidate collateral through third parties or other methods.
4. Spending Limits
**
Your spending limit is generally set by Yativo under the Yativo Terms and based on the amount of collateral in your linked wallet. The Issuer may also set spending limits on each Yativo Card or set an overall limit across all your Yativo Cards at its discretion.
Spending limits may be changed at any time with or without notice, including temporary increases or decreases, or reducing limits to zero. Any authorized Charge or fee may reduce your available spending limit by the same amount.
When you use a Yativo Card at merchants where the final amount is unknown at authorization, the Issuer may apply a temporary hold for a higher or lower amount than the final Charge. This hold reduces your spending limit until the final amount is confirmed.
5. Purchases and Restrictions
The primary purpose of your Account is to support corporate expenses and other business purchases.
Yativo and Issuer may block or terminate transactions and suspend access to your Account if activity does not align with business purposes.
You may use the Card to purchase or lease goods and services by presenting the Card or providing the Card number by phone, online, or through a mobile app.
Yativo and Issuer are not liable if a merchant refuses to process a purchase.
They may also limit:
- the type of purchases
- number of purchases
- dollar amount of purchases
- cash like transactions
Cash like transactions may include:
- travelers checks, foreign currency, money orders, wire transfers, cryptocurrency, or similar transactions
- lottery purchases, casino chips, race wagers, offline or online betting
- person to person transfers and account funding transactions
- paying bills through third party services rather than through the merchant
Yativo or Issuer may deny any purchase for reasons including suspected fraud, unlawful activity, internet gambling, or increased risk patterns.
Personal use is prohibited. Cash advances and balance transfers are not available.
You acknowledge that you have reviewed the Partner prohibited activities list and will not engage in prohibited activities.
You agree that you will not use the Yativo Card:
- for any expense that is not a business expense
- for any prohibited purpose
- for or with any blocked or sanctioned party including OFAC restricted persons
- for personal, family, or household use
You must protect your Yativo Cards and login credentials. You must not allow third parties to use your card. You must notify Yativo immediately if your Card or Account is compromised.
6. Payments
6.1 Promise to Pay
You usually repay Yativo for amounts transacted with your Card, but you also promise to pay Issuer or its assignees for all amounts charged to your Account that are not repaid by Partner. This includes purchases, interest, and all charges.
You are responsible for all transactions made by anyone you authorized to use the Card, even if they exceed your intended authorization.
6.2 Periodic Statements
You are responsible for paying all Charges and Fees in full.
Your Yativo Account may include Periodic Statements that list:
- Charges
- Fees
- refunds
- your Collateral amount
- Card transactions
- other amounts owed or credited
Periodic Statements may be available daily, monthly, or at other intervals determined by Issuer.
You must notify Yativo promptly if you detect any errors and follow the dispute procedures.
If Yativo does not send a statement, you are still responsible for paying your obligations. Yativo and Issuer may still liquidate your collateral under Section 3 even if a statement is not received.
6.3 Repayments
Where applicable, you may make repayments by any method approved by Yativo.
Failure to pay when required is a breach of the Card Terms. You are responsible for all costs incurred in collections, including legal fees and interest at the maximum rate permitted by law.
Balances in your linked wallet may be used for repayment of Card spending. You authorize this use automatically each time you make a Card purchase, subject to the liquidation rules in Section 3.
6.4 Prepayment
You may prepay all or part of your outstanding balance at any time without penalty. Paying more than the minimum due in one cycle does not relieve obligations in future cycles.
7. Fees
**
Subject to applicable law, you agree to pay all fees. Yativo will disclose fees at approval or through updates to these Card Terms. Fees may include:
- finance charges
- issuance fees
- replacement fees
- foreign transaction fees
- usage fees
- service fees
- cash advance fees
- late fees
- failed payment fees
- Liquidation Event fees
- any other charges described in or arising under these Card Terms
You authorize Yativo and Issuer to charge or deduct these fees from your Account, from your linked wallet, and from any other payment method you provide.
7.1 Penalty Fees
(a) Liquidation fee
A Liquidation Event fee applies if your collateral must be liquidated.
(b) Returned payment fee
Up to 29 dollars. This fee will not be charged if a late fee applies for the same due date. It will never exceed the minimum payment due immediately prior to the returned payment.
(c) Additional charges
Additional fees for special services may apply as permitted by law.
7.2 Foreign Currency Transactions
If you make a Charge in a foreign currency:
- The Card Network will convert it to USD at the rate selected by the network on the processing date.
- The rate may differ from the rate used by the network itself on that same date.
- The rate may differ from the conversion rate on the transaction date.
- Some merchants may convert the currency at their own rate before submitting the transaction.
Foreign Transaction Fees may apply.
8. Managing Cards
8.1 Requesting and Replacing Cards
Yativo or Issuer may decline a request for additional Yativo Cards or limit the number of Cards created within your Account.
You must secure all Cards and credentials. Notify Yativo at fr***@****vo.com or +1 (350)-250-8728 if your Card is lost, stolen, or compromised.
Replacement Cards will be provided at your request, but you may be required to update billing details for recurring transactions.
Yativo and Issuer may cancel or deny transfers between wallets or accounts at their discretion.
8.2 Permitted and Unauthorized Use
You must ensure that Yativo Cards are used only by authorized users and only for legitimate business purposes.
You are responsible for:
- all Charges made by users permitted by you
- Charges made by users whose Cards you allowed them to have
- Charges made if you provide your Card or Account details to someone else
You remain responsible for Charges even if:
- the user is not authorized by company policy, or
- the user exceeds the scope of your authorization
Yativo or Issuer may suspend, cancel, or revoke your Card with or without notice.
Yativo and Issuer are not responsible for losses caused by declined or reversed transactions.
You agree to cooperate with Yativo or Issuer in investigating any transaction.
8.3 Lost or Stolen Cards
If your Card is lost or stolen, or if you believe your Yativo Account has been compromised:

You are not responsible for unauthorized transactions after you notify Yativo or the Issuer. You may be responsible for unauthorized activity before notification.
You must cooperate with and support any investigation.
9. Chargebacks
**
You are responsible for reviewing your Periodic Statements and identifying any Charges you believe are unauthorized or that you wish to dispute.
If you have a dispute with a merchant regarding a Charge, such as incorrect goods, the wrong amount, or undelivered services, you should first attempt to resolve the issue directly with the merchant.
If the dispute remains unresolved, or if you believe the Charge is unauthorized, you may initiate a Chargeback through your Yativo Account.
You must report any disputed Charge or error within 60 days after the disputed Charge is posted.
Yativo or Issuer may request additional information about the transaction. The investigation process may rely on your timely cooperation.
Chargebacks are subject to the rules of the applicable Card Network and may require additional documentation.
Charges related to disputed items may remain due while the Chargeback is pending. If the Chargeback is ultimately resolved in your favor, the amount will be credited to your Yativo Account.
Yativo may impose fees, lower spending limits, or suspend your Account if you fail to pay Charges related to pending Chargebacks by the payment due date.
10. Termination
Subject to applicable law, Issuer may suspend, revoke, or cancel your Account privileges or the right to use a Card, or may deny any transaction, at its discretion, with or without cause, and with or without notice.
Termination does not relieve you of your responsibility to repay outstanding amounts.
You must surrender or destroy the Card upon request. Attempts to use the Card after termination may result in the Card being retained by the merchant, ATM, or financial institution.
11. Change of Terms
Subject to applicable law, Issuer may change, add, or delete terms or conditions at any time. This includes changes to interest rates and the Change of Terms provision.
Changes may be made for reasons including, but not limited to:
- anti fraud policies
- your compliance level
- economic conditions
- changes in Yativo or Issuer policies
Notice will be provided as required by law.
Changes may apply to both new purchases and outstanding balances, as permitted by law.
12. Remedies
If you default under these Card Terms, Issuer may, subject to applicable law:
- declare your entire outstanding balance due immediately
- still allow minimum payments without waiving rights
- initiate collection actions and charge you court costs and reasonable attorney fees
Interest charges will continue to accrue until your balance is fully paid.
13. Delay in Enforcement
Issuer may delay or waive enforcement of any rights without losing those rights. Acceptance of late payments does not waive any rights.
14. Communications and Call Recording
**
You authorize Yativo, Issuer, and their partners, including affiliates, agents, assigns, and service providers (collectively, the Messaging Parties), to use automatic telephone dialing systems, artificial or prerecorded voice systems, text messaging systems, automated email systems, or any system capable of storing and dialing telephone numbers to deliver messages relating to these Card Terms, your Account, or your relationship with the Messaging Parties.
Messages may include:
- upcoming payment due dates
- missed payments
- returned payments
- Card or Account notifications
You agree that:
- prerecorded or artificial voice messages may be used
- messages may be played automatically when answered
- answering machines may record messages
- messages may be sent by email or text
- anyone with access to your phone, email, or mailbox may receive them
You understand you may incur charges from your telecom or internet provider. Messaging Parties are not liable for such charges unless required by law.
You expressly authorize the Messaging Parties to monitor and record your calls.
If your phone number changes or you stop using it, you must notify the Messaging Parties.
To revoke consent where permitted by law, contact the Messaging Party directly or email Su*****@****vo.com with the subject line “END COMMUNICATIONS”.
You may opt out of text messages by replying “STOP” and out of emails by clicking the opt out link provided.
15. Governing Law
These Card Terms are governed by the laws of Puerto Rico without regard to conflict of law rules.
Judicial proceedings other than small claims actions that are not subject to arbitration must be brought in state or federal courts in Puerto Rico unless both parties agree otherwise. You consent to jurisdiction and venue in Puerto Rico.
16. Arbitration and Dispute Resolution
Please read this section carefully. It limits your rights.
You and Issuer agree that any past, present, or future dispute shall be resolved through binding arbitration unless an exception applies.
Arbitration will not proceed on a class, group, or representative basis.
A dispute includes:
- any claim related to these Card Terms
- any claim related to a breach, termination, enforcement, interpretation, or validity question
- any claim relating to Services including the Yativo Card
- any claim related to the scope or applicability of arbitration
The Federal Arbitration Act governs this section.
Arbitration Procedure
(a) Informal Resolution Required First
Before initiating arbitration, the party bringing the claim must send a Notice of Dispute containing:
- your name
- your contact information
- sufficient detail regarding the dispute
The responding party must reply within 10 business days, and both parties must attempt to resolve the matter in good faith.
If no resolution is reached within 30 days, arbitration may proceed.
If a party files for arbitration without following these steps, the arbitrator must dismiss the claim with prejudice and award the other party reasonable costs and attorney fees.
(b) Arbitration Rules
- Administered by the American Arbitration Association (AAA)
- Governed by the AAA Commercial Arbitration Rules
- One arbitrator unless injunctive relief affecting other users is sought
- If so, a panel of three arbitrators will be appointed
- Arbitration is confidential
- Hearings held in New York, NY, or remotely if you elect
- Any relief available in court may be granted in arbitration
- Filing costs are determined by AAA rules
- The prevailing party may recover attorney fees and expenses
(c) Prohibition on Collective Arbitration
Arbitration must proceed only on an individual basis.
A collective arbitration includes:
- two or more similar claims filed concurrently
- claims brought with the same or coordinated counsel
- claims involving shared or coordinated fees
To the maximum extent allowed by law, you waive any right to participate in class, collective, or coordinated actions.
If a court finds this waiver unenforceable, the entire arbitration agreement becomes void and the dispute must be resolved in court.
Small Claims Court
Both parties may bring individual actions in small claims court.
No Jury Trial
If a dispute proceeds in court instead of arbitration, both parties waive the right to a jury trial.
Judicial Venue
When arbitration does not apply, judicial proceedings must be brought in Puerto Rico unless law requires otherwise.
Either party may confirm an arbitration award in any court with jurisdiction.
17. Confidentiality
All information related to disputes must be kept confidential except as necessary to complete arbitration or enforce an arbitration award.
18. Survival
The arbitration agreement and related provisions survive termination or expiration of these Card Terms.
If any part of this arbitration agreement is found unenforceable, the remaining portions will remain in effect. If the prohibition on collective arbitration is invalidated, the arbitration agreement is void.
